Terms of Service

Laynex is an online marketplace (intermediary under the IT Act, 2000) connecting sellers who offer access to private GitHub repositories with buyers. We facilitate listings, payments via Razorpay, and automated GitHub collaborator invitations. We are not the owner of listed repositories unless explicitly stated.

You must provide accurate information and keep credentials secure. Sellers are responsible for GitHub tokens they provide and for having lawful rights to grant access to listed repositories. Buyers must supply a valid GitHub username for access delivery. You must be at least 18 years old, or have parental/guardian consent, to transact on Laynex.

Prices are shown in INR inclusive of applicable taxes unless stated otherwise. Payment processing is handled by Razorpay; their terms and privacy policy also apply. Access is granted when our systems confirm payment via Razorpay webhook and successfully invite the buyer on GitHub. We do not guarantee third-party uptime (GitHub, Razorpay, or your network).

Sellers earn 93% of each sale price. The remaining 7% is a platform fee covering infrastructure, Razorpay payment processing, and operational costs.

Laynex collects all buyer payments via Razorpay. Payouts to sellers are processed manually via invoice — we do not use automated payout systems at this time. To receive your earnings:

1. Raise a payout request from your seller dashboard once your balance reaches ₹100.
2. Submit a valid invoice addressed to Laynex for the payout amount.
3. Provide your bank account or UPI details for settlement.
4. We will process the transfer within 7 business days of receiving a valid invoice.

Laynex reserves the right to hold payouts pending verification or if there are active disputes. Sellers are solely responsible for declaring and paying applicable taxes (income tax, GST) on their earnings.

Sellers warrant they have the legal right to sell access, that listings are accurately described, and that repositories match the listing at time of purchase. Prohibited content includes: malware, stolen or plagiarised code, illegal material, content violating third-party intellectual property rights, or listings that violate GitHub's terms of service.

The Seller bears full and sole responsibility and liability for everything they list. Laynex is a neutral marketplace intermediary and is not responsible for listed content. If content is pirated or infringing, liability rests entirely with the Seller. Sellers agree to indemnify Laynex against any resulting claims. Buyers agree to use purchased repository access only for lawful purposes and in accordance with the seller's stated licence. Purchased access is personal and non-transferable unless the seller explicitly permits otherwise.

Refunds and cancellations are governed by our separate Refund & Cancellation Policy. In summary: sales are final once access is granted, except in cases of platform failure or material misrepresentation by the seller.

Sellers retain all intellectual property rights to their code. By listing on Laynex, sellers grant buyers a non-exclusive, non-transferable licence to use the purchased repository as described in the listing. Laynex does not claim ownership of any listed repository and does not verify ownership.

We respond to valid infringement notices and remove infringing listings within 36 hours. We cooperate fully with law enforcement and rights holders and will disclose a Seller's identifying information upon a valid legal request. See the Content & Liability Policy.

Laynex is provided "as is." To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, or consequential damages, lost profits, or issues arising from third-party services (GitHub, Razorpay, Clerk, Supabase). Our total aggregate liability for any claim is limited to the amount you paid for the relevant listing in the prior twelve months.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Madhya Pradesh, India. Users located outside India access Laynex at their own risk and responsibility.

In accordance with the IT (Intermediary Guidelines) Rules, 2021, users may raise grievances with our designated Grievance Officer. We acknowledge complaints within 48 hours and resolve them within 30 days.

We may update these terms from time to time. Continued use after changes constitutes acceptance. Material changes will be noted on this page with the updated date above.
